IFC, Serbia: Structuring and tendering a public private partnership transaction for a waste management treatment and disposal centerThe City of Belgrade approached IFC for assistance in structuring and tendering a public private partnership transaction for designing, financing, constructing, operating and maintaining a waste management treatment and disposal center at Vinca along with other facilities in line with its waste management plan. FMC acted as a technical, environmental and social consultant to assist IFC and the City Council up to commercial closing. As part of the assignment, FMC conducted an environmental and social scoping study as well as a review + gap analysis of the land acquisition and resettlement process already undertaken for the project. The project’s MSW handling capacity was 600,000 t/a.

The services FMC provided were involving a due diligence investigation, market analysis, setting up a financial model, checking of legal framework conditions, investigation and specification of transaction structure, risk analysis, preparing marketing material, international road show, drawing up tender documents and evaluation criteria, prequalification of bidders, drawing up contract documents, setting up a data room, and finally assistance in investor due diligence checks.

The World Bank: Waste management and privatization concept for the expansion of the city’s waste landfillThe project aim was to prepare a waste management and privatization concept for the expansion of the city’s waste landfill. The services FMC provided were investigations regarding the collection, recycling, disposal, tariffs, legal rulings and organizational procedures, including the conducting of an economic analysis. Alongside waste management optimization, a critical project task was preliminary planning for extending the landfill and estimating the CDM potential of its existing and future sections. As a result, FMC incorporated the findings into tender specifications for privatizing waste collection, recycling and landfill operation.

KfW, Indonesia: Preparation of solid waste management master plans for eleven Indonesian citiesSolid waste management master plans were drawn up for 11 Indonesian cities by Fichtner to identify fast track waste management measures, taking into account their CDM potential. Subsequently for the selected fast track measures in seven cities, feasibility studies were conducted.

eew Energy from Waste: Transaction advisor for the technical and environmental due diligence for thermal waste incineration plantsFor an international consortium consisting of one of the largest German energy producer and a Chinese state-owned holding company, FMC is a consultant for the technical and environmental due diligence on the acquisition of shares of the Energy from Waste (EEW) stake. The target portfolio includes 18 waste incineration plants in Germany, the Netherlands and Luxembourg. The consultancy services for the transaction involved the evaluation of power plant systems, the analysis of environmental issues, risk assessments and their quantification as well as the formulation of an OPEX / CAPEX model as a contribution for the financial model of the investor. FMC used as in other M & A projects in this buyer counselling the usual M & A instruments such as data space, Q & A sessions, expert sessions or advisor calls with the other disciplines. A Red Flag Report and a Bankable due diligence was submitted. For basics of due diligence was the evaluation of Technical and Environmental Vendor Due Diligence Reports, Financial and Legal Vendor Due Diligence reports and the analysis of the vendor model. The established by FMC OPEX / CAPEX model was integrated into the financial evaluation model of investment banking to our customers.
